By visiting or using the OmniCard Site, you agree to be bound by these General Terms of Use and acknowledge that such agreement constitutes a binding contract between you and Blackhawk Network and its affiliated entities (collectively the “Company”). If you do not agree to these General Terms of Use, please do not use the OmniCard Site.

Acceptance of Terms

By creating an account and/or by using the OmniCard Site, you agree to all terms, conditions, and notices without modification and are legally bound by these General Terms of Use. Additionally, you will be bound by the terms and conditions of any other contract or agreement with the Company.

The Company reserves the right to revise these General Terms of Use at any time. You should visit this page periodically to review the terms of your use. Your continued use of the OmniCard Site following any such revision means you agree to abide by the revised General Terms of Use.

Electronic Communications

You agree that we may provide agreements and disclosures related to the OmniCard Site to you electronically instead of in paper form. Most communications between the Company and you will be sent and received electronically. You agree that all agreements, notices, disclosures, and other communications exchanged electronically satisfy any legal requirements that such communications be in writing.

Use of the OmniCard Site

You may not use the OmniCard Site in any manner that could damage, disable, overburden, or impair the OmniCard Site or interfere with any other person’s use and enjoyment of the OmniCard Site. The Company reserves the right to investigate and take appropriate legal action against anyone who, in the Company’s sole discretion, violates these General Terms of Use.

Eligibility

Use of the OmniCard Site is limited to parties that can lawfully enter into and form contracts under applicable law. Minors are not allowed to use the OmniCard Site. To sign up for an Account, you must provide your full legal name, email address, and a password. The Company may refuse access to or use of the OmniCard Site to anyone at any time, in its sole discretion.

Account and Password

To access all features and services of the OmniCard Site, you need a valid user ID and corresponding password. Your user ID and password are confidential and must not be distributed or disclosed by you to third parties. You are responsible for all uses of your Account, whether or not authorized by you. You agree to immediately notify the Company of any unauthorized use of your Account.

Merchant-Issued Closed Loop Gift Accounts

Purchasing or Redeeming

Merchant-issued closed loop gift card accounts are available for purchase or redemption by individuals over the age of 18 years. The Company retains the sole discretion to refuse to sell Merchant-Issued Closed Loop Gift Accounts to any person for any reason. No refunds will be issued, offered, or provided for the purchase of Merchant-Issued Closed Loop Gift Accounts.

Use and Documentation

A Merchant-Issued Closed Loop Gift Account may be used in accordance with the terms and conditions specified by the merchant or other party who issued that Merchant-Issued Closed Loop Gift Account. At the time of purchase, you will receive an email receipt for the transaction. Retain the receipt for your records.

Disputes with Merchants

You agree to make a good faith effort to settle all disputes about purchases you make using your Merchant-Issued Closed Loop Gift Account with the merchant who accepted the Merchant-Issued Closed Loop Gift Account.

Disclaimer of Liability

The Company disclaims any duty or responsibility other than those expressly set forth in these General Terms of Use. Among other things, the Company is not liable for:

Transactions exceeding the funds available through your selected form of payment
Connectivity issues with your personal computer or mobile device
Circumstances beyond our control (such as natural disasters)

Termination

The Company may terminate this Agreement and modify or close your Account for any reason or no reason at any time with or without notice. If your Account is terminated, you agree to immediately stop using the OmniCard Site.

Indemnification

You agree to defend, indemnify, and hold the Company harmless from any and all claims, actions, damages, costs, liabilities, losses, and expenses arising from or related to your use of the OmniCard Site or any information you provide to the Company and for breach of these General Terms of Use.

Governing Law and Arbitration

These General Terms of Use shall be governed by and construed in accordance with the internal substantive laws of the Commonwealth of Pennsylvania, United States of America. Any controversy or claim arising out of or relating to this Agreement shall be settled by arbitration administered by a single arbitrator under the commercial rules of the American Arbitration Association.

Entire Agreement

These General Terms of Use constitute the entire agreement between you and the Company with respect to your use of the OmniCard Site and supersede any other agreement, proposals, and communications, written or oral, between the Company and you with respect to the subject matter hereof.
